These Terms & Conditions ("Terms") govern your use of the Foodyzz mobile applications, the foodyzz.com website, and the e-bike rental, rent-to-own, and purchase services we provide in New York City (together, the "Services"). By creating an account or placing an order you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
- You must be at least 18 years old to use the Services.
- You must provide accurate account information, keep it up to date, and complete identity verification (a government-issued ID) when requested. We may decline or cancel orders if verification cannot be completed.
- You must have a valid payment card on file to place an order.
- The Services are currently available only within our New York City service area, as shown in the app.
2. Plans
Rental
- You rent the bike for the term you select in the app. The bike remains Foodyzz property at all times.
- Rental pricing, applicable fees, and taxes are shown in the app before you confirm an order.
- At the end of your term you may return the bike or, where offered, extend your rental in the app.
Rent-to-Own
- You pay fixed monthly installments as quoted at checkout. Ownership of the bike transfers to you only after the final installment (or an early payoff) is completed.
- You may pay off the remaining balance early at any time in the app, with no early-payoff penalty.
- If an installment payment fails, we will retry it and notify you. Continued non-payment after our dunning notices may result in suspension of the plan and our recovery of the bike, as permitted by law. Missed payments do not erase amounts already owed.
Purchase
- Purchased bikes are paid in full at checkout and delivered to your address. Title transfers to you upon delivery and full payment.
3. Payments, Authorizations & Deposits
- Authorization at checkout — when you place an order we authorize your card for the quoted total. The charge completes when your bike is delivered. If you cancel before delivery, the authorization is released and you are not charged.
- Security deposits — rentals may require a security deposit, which is held on your card at delivery, not charged. After the bike is returned and inspected, the hold is released within a few days. If the bike is damaged, missing, or not returned, we may charge from the deposit up to the deposit amount, with an itemized breakdown provided to you.
- Price adjustments — if the final price differs from the estimate (for example, plan changes you approve), you will be asked to confirm before any higher amount is charged.
- Payment processing — payments are processed by Stripe. By using the Services you also agree to Stripe's applicable terms.
- Taxes and fees — applicable sales tax and disclosed fees (such as delivery or card-processing fees) are itemized at checkout.
- Tips — tips you add for delivery riders are voluntary and non-refundable once processed.
4. Delivery, Return & Condition
- We deliver to and pick up from the address you provide, within our service area. You (or an adult you authorize) must be present to receive the bike.
- Each bike is checked and charged before handoff. Report any visible damage or issue in the order chat at delivery — otherwise the bike is considered delivered in good condition.
- You must return the bike in the condition you received it, ordinary wear excepted. Damage beyond ordinary wear, missing accessories, or a missing bike may be charged against your deposit and, if the loss exceeds the deposit, invoiced to you.
- Return pickups are scheduled in the app. Keep the bike available at the agreed time and place.
5. Your Responsibilities
- Follow all applicable traffic laws, including New York's e-bike regulations and helmet requirements where applicable.
- Keep the bike secured with the provided lock when unattended, and store it responsibly.
- Do not modify, disassemble, sublease, sell, or lend the bike to others. The registered account holder is responsible for the bike at all times.
- Do not use the bike while impaired, for racing or stunts, or to carry passengers or loads beyond its rated capacity.
- Report theft or loss to us immediately through the app or contact form, and file a police report for stolen bikes.
- Charge the battery only with the supplied charger, indoors and unmodified. Never tamper with the battery.
6. Assumption of Risk
Riding an e-bike involves inherent risks, including collision, falls, weather, and road hazards. You use the bike at your own risk and are responsible for riding within your abilities, using appropriate safety gear, and inspecting the bike before each ride. Foodyzz is not an employer of, or insurer for, any delivery platform you may work with while using a bike.
7. Cancellations & Refunds
- Orders may be cancelled in the app before delivery without charge; the card authorization is released.
- After delivery, rental fees for the current period are non-refundable except where required by law or expressly stated otherwise.
- We may cancel an order at our discretion (for example, availability or verification issues); in that case any authorization is released or amounts charged are refunded.
8. Acceptable Use of the Services
- Do not misuse the app: no unauthorized access, scraping, interference with other users, or fraudulent orders.
- Order and support chats must not contain abusive, threatening, or unlawful content.
- We may suspend or terminate accounts that violate these Terms, involve fraud or chargebacks made in bad faith, or create safety risks — with any owed amounts remaining payable.
9. Intellectual Property
The Foodyzz name, logo, apps, website, and content are owned by Foodyzz and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the apps for their intended purpose. You may not copy, modify, or create derivative works from the Services.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOODYZZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY BIKE WILL BE AVAILABLE AT ALL TIMES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOODYZZ WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR EARNINGS (INCLUDING DELIVERY EARNINGS), ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO FOODYZZ IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify and hold harmless Foodyzz and its officers, employees, and partners from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of a bike or the Services, your violation of these Terms, or your violation of any law or third-party right.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in New York County, New York, and you consent to their jurisdiction. You and Foodyzz each waive any right to a jury trial and agree claims may be brought only individually, not as a class action, to the extent permitted by law.
14. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the current version, and material changes will be announced in the app or by email. Continued use of the Services after changes take effect constitutes acceptance.
